Introduction
Studio Guru is a trade name of Guru International BV. These general terms and conditions apply to all services and agreements provided by Guru International BV, located at H.J.E. Wenckebachweg 100, 1114 AD Amsterdam, to its clients.
Article 1 – Definitions
1.1. Client: The natural person or legal entity who enters into an agreement with Guru International BV.
1.2. Guru International BV: The private limited company Guru International BV, located at H.J.E. Wenckebachweg 100, 1114 AD Amsterdam, registered with the Chamber of Commerce under number 75766892.
1.3. Agreement: The arrangements between Guru International BV and the Client concerning the delivery of services and/or products.
1.4. Services: All activities, in any form, performed by Guru International BV for or on behalf of the Client, including but not limited to video and film productions.
Article 2 – Applicability
2.1. These general terms and conditions apply to all quotes, agreements, and deliveries of services by Guru International BV, unless explicitly agreed otherwise in writing.
2.2. Deviations from these conditions are only binding if and to the extent confirmed in writing by Guru International BV.
Article 3 – Quotes and Agreements
3.1. All quotes from Guru International BV are non-binding and valid for 30 days, unless otherwise stated.
3.2. An agreement is concluded after written confirmation of the assignment by Guru International BV.
3.3. Changes to the assignment must be agreed upon in writing and may lead to an adjustment of the agreed price.
Article 4 – Execution of Services
4.1. Guru International BV will perform the services to the best of its knowledge and ability, in accordance with standards of good craftsmanship.
4.2. The Client is obliged to provide all data and materials necessary for the execution of the services in a timely and correct manner.
4.3. Guru International BV is not liable for damages of any kind resulting from relying on incorrect or incomplete data provided by the Client.
4.4. If Guru International BV engages freelancers or other professionals, it is expected that they act carefully and have their own liability insurance. Freelancers handling equipment are responsible for careful use. Any damage or theft due to negligence will be charged to the responsible freelancer.
Article 5 – Delivery Terms
5.1. Deadlines for completing work are only binding if agreed upon in writing.
5.2. Exceeding the delivery term does not entitle the Client to compensation or dissolution of the agreement, unless due to intent or gross negligence of Guru International BV.
Article 6 – Prices and Payment
6.1. All prices are exclusive of VAT, unless otherwise stated.
6.2. Payment must be made within 14 days after invoice date, unless otherwise agreed in writing. Guru International BV reserves the right to request a 50% deposit to cover production costs.
6.3. If payment is not made on time, the Client is in default by operation of law and owes statutory interest and collection costs. Agreed prices with freelancers are binding; no additional costs may be charged afterwards unless agreed in writing.
Article 7 – Intellectual Property
7.1. All intellectual property rights to concepts, scripts, videos, and other materials developed by Guru International BV remain with Guru International BV, unless otherwise agreed in writing.
7.2. The Client obtains a usage right after full payment of the agreed price. Guru International BV retains the copyright and the right to use edited versions of the footage for its own promotional purposes.
Article 8 – Liability
8.1. Guru International BV is only liable for direct damage resulting from intent or gross negligence.
8.2. Liability is limited to the amount paid out by the insurer, or if no payout occurs, to the invoice amount.
8.3. Damage caused by freelancers or other professionals engaged is not the responsibility of Guru International BV unless explicitly agreed otherwise in writing. Damage caused by the Client on set will be charged to the responsible individual. If Guru International BV is hired via a third party, that party is responsible for passing on these terms. Guru International BV has liability insurance and expects the same from engaged professionals.
Article 9 – Cancellation and Suspension
9.1. Clients may cancel free of charge up to 4 working days before a shoot. Cancellation within 4 working days will be charged 75% of the full crew day-fee. Rescheduling within that period will be charged 50% of the day-fee. Costs already incurred may be charged if cancellation is outside these conditions.
9.2. Guru International BV reserves the right to suspend or cancel execution if the Client fails to meet obligations; incurred costs may be charged.
Article 10 – Force Majeure
10.1. Guru International BV is not liable for failure to fulfill the agreement due to force majeure.
10.2. Force majeure includes any circumstance beyond the control of Guru International BV that makes it unreasonable to expect fulfillment.
Article 11 – Governing Law and Disputes
11.1. All agreements are governed by Dutch law.
11.2. Disputes will be exclusively submitted to the competent court in the district where Guru International BV is established.
Article 12 – Changes to Terms and Conditions
12.1. Guru International BV reserves the right to amend these terms and conditions.
12.2. Changes will be communicated in writing or by email to the Client 30 days before they take effect.
Article 13 – Privacy
13.1. Guru International BV processes personal data in accordance with the General Data Protection Regulation (GDPR). See the privacy statement on our website.
